Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "you," or "your") and Seztech Inc., a Texas corporation doing business as RxCompliant ("RxCompliant," "we," "us," or "our"), located in Plano, Texas.
By creating an account, accessing our website at rxcompliant.com, or using any of our services including the prescription verification widget, API, dashboard, or mobile SDK (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
RxCompliant provides a prescription verification platform for ecommerce merchants selling products that require a valid prescription. The Service includes:
- An embeddable widget that collects prescription documents from your customers
- AI-powered document analysis to evaluate prescription validity and extract relevant information
- Automated verification of prescriber credentials against the National Plan and Provider Enumeration System (NPPES) NPI registry
- A merchant dashboard for reviewing, approving, and managing prescriptions
- REST API and webhooks for integration with your existing systems
- Email notifications for prescription upload events
3. Account Registration
To use the Service, you must:
- Provide accurate and complete registration information
- Be at least 18 years old and have the legal authority to bind your organization
- Maintain the security of your account credentials and API keys
- Promptly notify us of any unauthorized access to your account
You are responsible for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Merchant Responsibilities
4.1 Regulatory Compliance
You acknowledge and agree that RxCompliant is a technology tool, not a licensed pharmacy, healthcare provider, or regulatory body. You are solely responsible for:
- Ensuring that your business complies with all applicable federal, state, and local laws regarding the sale of prescription-required products
- Obtaining any necessary licenses, permits, or registrations required to sell prescription-required products
- Making final determination on whether a prescription is valid and sufficient for the products being sold
- Maintaining records as required by applicable regulations
4.2 Use of AI Analysis
Our AI-powered analysis provides confidence scores and suggestions to assist your review process. AI analysis results are advisory only and do not constitute medical, legal, or regulatory advice. You should not rely solely on AI analysis for compliance decisions. You are responsible for the final approval or rejection of every prescription.
4.3 Customer Communication
You are responsible for informing your customers that prescription documents will be collected and processed through RxCompliant, including appropriate privacy disclosures.
5. Plans and Billing
5.1 Subscription Plans
The Service is offered under tiered subscription plans with varying upload limits and features. Current plans and pricing are available at rxcompliant.com/pricing. We reserve the right to modify pricing with 30 days advance notice.
5.2 Free Plan
The Free plan includes a limited number of prescription uploads per month. No credit card is required. The Free plan may be modified or discontinued with 30 days notice.
5.3 Paid Plans
- Paid plans are billed monthly or annually, depending on the billing cycle you select.
- Payment is processed securely through Stripe. You agree to Stripe's terms of service.
- Subscriptions automatically renew unless canceled before the end of the billing period.
- Paid plans include a 14-day free trial. If you cancel during the trial, you will not be charged.
5.4 Refunds
We offer a prorated refund if you cancel within the first 30 days of a paid subscription. After 30 days, no refunds are provided for the remainder of the billing period.
5.5 Overages
If you exceed the upload limit of your plan, additional uploads may be paused until the next billing cycle or you upgrade your plan. We will notify you before your limit is reached.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and processing of data as described in the Privacy Policy.
6.1 Prescription Data
Prescription documents uploaded through the Service are processed and stored in accordance with our Privacy Policy. You acknowledge that:
- Prescription documents may contain Protected Health Information (PHI)
- Documents are stored in encrypted Cloudflare R2 storage with no public URLs
- AI analysis is performed by Anthropic's Claude AI under their data processing terms
- You retain ownership of all prescription data associated with your account
6.2 Business Associate Agreement
For Business plan subscribers who are HIPAA Covered Entities or Business Associates, we offer a Business Associate Agreement (BAA). Contact compliance@rxcompliant.com to request a BAA.
7. Intellectual Property
- The Service, including its software, design, documentation, and branding, is owned by Seztech Inc. and protected by intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.
- You may not reverse-engineer, decompile, or create derivative works from the Service.
- You retain ownership of your data, including prescription documents and merchant information.
8. API Terms
If you use the RxCompliant API:
- You must keep your API keys secure and not share them publicly
- You must not exceed reasonable rate limits (published in our API documentation)
- You must not use the API for purposes other than prescription verification
- We may suspend API access for abuse or excessive usage without notice
9. Widget Embed Terms
When embedding the RxCompliant widget on your store:
- You must not modify, obfuscate, or tamper with the widget code
- You must not remove or hide RxCompliant attribution unless on a Business plan with white-label enabled
- You are responsible for ensuring the widget is displayed correctly on your store
10. Prohibited Uses
You may not use the Service to:
- Process fraudulent or forged prescription documents knowingly
- Circumvent prescription requirements or facilitate illegal sales
- Collect prescription data for purposes other than product compliance
- Interfere with or disrupt the Service or its infrastructure
- Violate any applicable law or regulation
- Resell, sublicense, or redistribute the Service without written permission
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
- The AI analysis will be 100% accurate in every case
- The NPI registry data will always be current or complete
- The Service will be uninterrupted or error-free
- The Service will meet all of your regulatory requirements
YOU ACKNOWLEDGE THAT AI-POWERED ANALYSIS IS PROBABILISTIC AND MAY PRODUCE INCORRECT RESULTS. YOU ARE RESPONSIBLE FOR FINAL VERIFICATION OF ALL PRESCRIPTIONS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEZTECH INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
WE ARE NOT LIABLE FOR ANY REGULATORY ACTION, FINE, OR PENALTY IMPOSED ON YOU AS A RESULT OF YOUR USE OR MISUSE OF THE SERVICE, OR YOUR FAILURE TO INDEPENDENTLY VERIFY PRESCRIPTIONS.
13. Indemnification
You agree to indemnify, defend, and hold harmless Seztech Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your failure to properly verify prescriptions
- Claims by your customers related to prescription processing
14. Termination
- You may cancel your account at any time through the dashboard or by contacting support.
- We may suspend or terminate your account for violation of these Terms, with notice where practicable.
- Upon termination, your access to the dashboard and API will cease. You may request an export of your data within 30 days of termination.
- Prescription data will be retained in accordance with our Privacy Policy and applicable legal requirements, unless you request deletion.
15. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the website at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Collin County, Texas.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy and any applicable BAA, constitute the entire agreement between you and Seztech Inc. regarding the Service.
